The Saudi company formation sequence
For a foreign-owned company, Saudi formation runs in a fixed order, and each step depends on the one before it. Getting the activity classification right at the start saves weeks later, because the MISA licence, the Commercial Registration and the municipal licence all have to match.
- MISA investment licence (Ministry of Investment), required when any shareholder is foreign. The licence fixes the activities and the ownership structure.
- Trade name reservation and Articles of Association under the Companies Law, then Commercial Registration (CR) with the Ministry of Commerce.
- Chamber of Commerce membership.
- ZATCA registration: a tax and Zakat profile from day one, and VAT registration once you cross the threshold.
- GOSI employer registration and the labour file on Qiwa (Ministry of Human Resources), which drives iqamas and Nitaqat (Saudisation) status.
- Municipal (Balady) licence for the premises, plus Civil Defence approval where required.
- Saudi bank account. Banks typically ask for the CR, the MISA licence, the Articles and the lease.
Choosing the entity type
Most foreign investors form a limited liability company (LLC). A branch of a foreign company is an option when the parent wants to contract directly, but the parent carries the liability and the branch is taxed differently. A Regional Headquarters (RHQ) licence is a separate track for multinational groups that want to run regional management from Riyadh.
Ownership matters for tax: the share owned by Saudi and GCC nationals is generally subject to Zakat, and the share owned by other foreign shareholders to corporate income tax. Confirm the split with your advisor before you sign the Articles.
Documents to prepare
- Parent company documents (certificate of incorporation, articles, recent financial statements where MISA asks for them), attested and translated into Arabic.
- Passports of shareholders, managers and the authorised signatory.
- Board resolution approving the Saudi entity, its capital and its managers.
- A business description that maps to the MISA activity list.
- Lease or office arrangement for the CR address and the municipal licence.
What drives the cost and the timeline
The biggest variables are the activity (some need sector approvals), whether parent documents are ready and attested, the number of shareholders, the premises, and how much of the post-CR work (ZATCA, GOSI, Qiwa, bank) you want the advisor to run. Ask for a quote that lists government fees separately from professional fees and names who files each step.
Plan for the post-CR steps as well. A company with a CR but no ZATCA, GOSI or bank set-up can't invoice or pay staff.
Red flags when choosing a formation advisor in Saudi Arabia
- They offer a nominee or "cover" Saudi partner instead of a proper MISA licence. That's commercial concealment (tasattur) and it's illegal.
- They can't tell you which MISA activity code fits your business.
- The quote stops at the CR and doesn't mention ZATCA, GOSI, Qiwa or the bank.
- They don't explain the Zakat versus income tax position for your shareholders.
- They promise approval dates that depend on government review.
